What this involves
The Registro de Empresas y Sociedades lets certain company types be constituted electronically, using standard forms, in a fraction of the usual time and cost. For a single-founder consulting company or a simple operating entity, it is genuinely the right tool.
The risk is not the speed — it is the standard form. Companies constituted this way frequently end up with default bylaws that say nothing useful about share transfers, deadlock, drag-along or investor protections, and the amendment to fix that later costs more than doing it properly the first time.
